1. Agreement to Terms
These Terms of Use (“Terms”) govern your use of the Haviq mobile application (“Haviq” or the “App”), provided by Compass Technologies Limited (“Compass”, “we”, “us” or “our”), a company registered in New Zealand.
2. Eligibility
You must be at least 18 years old to create, hold or use a Haviq account. By creating an account or signing in, you confirm that you meet this age requirement. An account held or used by someone under 18 may be restricted, suspended or terminated under section 14.
Children may be represented in household profiles managed by an adult account holder; they may not hold independent Haviq accounts. If you provide information about a child or another household person, you must have appropriate authority to provide that information and any consent required by applicable law.
3. Description of Service
Haviq helps people create private group events, coordinate menus, bring lists, activities and tasks, invite participants, make group decisions and track shared expenses. Access depends on membership, attendance, role and the feature involved.
Haviq’s initial rollout, including its Beta programme, is limited to New Zealand. The rollout will include both Android and iOS, although access may become available at different times on each platform. We may expand to other countries later, but no international launch dates have been confirmed.
Beta software may have limitations; this does not remove rights that cannot lawfully be excluded.
4. User Accounts
4.1 Phone sign-in
Sign-in uses a phone number and a one-time SMS code. Phone-code verification authenticates access to a phone number and does not replace your obligation to meet the 18-or-older account requirement. Provide accurate account information and keep your contact details current.
4.2 Optional recovery email
You may add an optional email in Profile. It is attached privately to the same authentication account, and must be confirmed using the verification email. If you add a recovery email address, it will not be used as a trusted recovery method until you have verified it using the confirmation link sent to that address. Replacing an existing email may require confirmation in both inboxes; the verified method is not replaced merely by typing a new address.
Phone OTP remains the normal sign-in method. Verifying an email does not itself create another account or make an email sign-in/recovery option available. Use only an email address you control, and contact support if you lose access. We may require appropriate ownership checks before assisting; an unsupported claim to own a phone number is not sufficient to delete or transfer an account.
4.3 Protecting your account
Keep your device, SMS codes, email inbox and verification links secure. Do not share authentication codes or links. Tell us promptly if you believe your account has been used without authority. Your responsibilities do not remove our own security or legal obligations.
5. Premium Features and Purchases
5.1 What Premium includes
Premium is a one-time unlock for an individual event, not a subscription. The current Premium bundle includes expense tracking and splitting, settlement records, event group chat (Inbox), carpool coordination and a custom event background photo. Review the features shown in the App before purchasing. A purchase does not automatically unlock other events.
5.2 Price and payment
The applicable price, currency and taxes will be displayed before you confirm a purchase. We do not charge you without purchase confirmation. Changes to prices for future purchases do not create an additional charge for an event you have already unlocked.
Premium purchases are processed through Google Play or Apple's App Store and are subject to the relevant store's purchasing terms. Purchase availability depends on your platform, country and app version and is shown in the App. Haviq's Premium purchase is separate from payments between event participants.
5.3 Refunds and remedies
Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded. For users in New Zealand, this includes applicable rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986. If you use Haviq in another country where the service is offered, any mandatory protections that apply to you under that country’s laws remain unaffected.
Depending on the circumstances and applicable law, you may be entitled to a remedy, including a refund, for a problem with the service.
You may request a refund through the store where you purchased Premium. You can also contact us about a service problem or your statutory rights; the store process does not replace our obligations under applicable law.
5.4 Changes to an event
Cancellation, postponement or other changes to an event by its organiser do not, by themselves, automatically entitle you to a refund for a functioning Premium unlock. Any rights under applicable law or the relevant store's refund policy remain available.
Premium is not an event ticket or a guarantee that an event will take place. Refunds for accommodation, transport, catering or other arrangements made outside Haviq must be addressed with the person or provider responsible for those arrangements.
5.5 Complimentary Beta access
During Haviq’s Beta programme, Compass may grant complimentary Premium access to some or all users. Each grant is limited to the scope and conditions communicated with it. Complimentary access is not a paid purchase or subscription and does not entitle you to unlimited Premium access for future events.
Complimentary access does not authorise a charge. Any paid Premium purchase requires a separate purchase confirmation showing the applicable price, currency and taxes.
5.6 Duration
A one-time unlock does not promise that Haviq will operate indefinitely. Any material change to paid features or planned service closure is subject to section 11 and your rights under applicable law.
6. User Conduct
You agree NOT to:
- Use the App for any illegal purpose or in violation of any laws
- Harass, abuse, or harm other users
- Upload or share unlawful, threatening, abusive, discriminatory, sexually exploitative, defamatory or privacy-infringing content, including child sexual abuse material or content that encourages serious harm
- Attempt to gain unauthorized access to the App or other users' accounts
- Use the App to send spam or unsolicited commercial messages
- Impersonate any person or entity
- Interfere with or disrupt the App's functionality
You may use Haviq only for personal, non-commercial purposes. You must not use Haviq to operate, promote or sell a business, product or service, organise commercial events, or otherwise generate commercial revenue.
Sharing or reimbursing genuine costs for a personal event does not, by itself, constitute commercial use.
You must not upload or share images containing nudity, sexually explicit material, graphic violence, or other content prohibited by these Terms. Compass may reject or remove images that violate these Terms. Failure to comply may result in suspension or termination of your account in accordance with section 14.
You may report content or conduct that you believe violates these Terms. Compass may review reports and remove or restrict content, or suspend or terminate account access, in accordance with section 14. You must not knowingly submit false or malicious reports.
7. Content and Intellectual Property
7.1 Your Content
You retain ownership of any content you create or upload to Haviq (event details, messages, photos, etc.). By using the App, you grant us a limited license to store, display, and transmit your content as necessary to provide the service.
You represent and warrant that:
- You own or have the necessary rights to use and upload all content you submit to Haviq
- Your content does not infringe on the intellectual property rights, privacy rights, or other rights of any third party
- You have obtained all necessary permissions, licenses, or consents to upload and use any photos, images, or other content (including event background photos)
You are responsible for ensuring that content you submit is lawful and that you have the necessary rights and permissions. Responsibility for any resulting claim is assessed under applicable law and sections 12 and 13; this does not exclude Compass’s responsibility for its own acts or omissions.
7.2 Our Intellectual Property
Haviq, including its design, code, features, and branding, is owned by Compass and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the App.
8. Event Data and Privacy
8.1 Access and visibility
Access to event information depends on membership, attendance, role and the feature involved. Being invited does not give unrestricted access to every event record. Organisers and participants must respect other people's privacy when entering information, using records or sharing exports.
Permitted members may see shared expense allocations, published payment obligations and aggregate payment progress. Individual payer reports and recipient receipt histories are restricted to the involved payment parties in ordinary participant views. The organiser's complete accounting audit export may include additional histories, expense attachments and children's names.
Organisers, coordinators and other recipients must keep personal information confidential, restrict access to people entitled to receive it, safeguard saved or exported copies and use the information only for authorised event/accounting purposes or another lawful purpose. They must not publish, forward or reuse children's names or other private information without appropriate authority and a lawful basis, and must not retain copies longer than needed for a lawful purpose.
To the extent permitted by law, Compass is not responsible for recipients' independent storage, disclosure or misuse of copies where that conduct is not caused or contributed to by Compass's breach of its obligations. This does not exclude Compass's own legal responsibilities or any non-excludable rights or remedies.
A payment report is a participant's declaration, not verification by a bank. Only unreversed recipient confirmations reduce the recorded outstanding balance.
8.2 Archiving and account deletion
Archiving is not deletion. It does not settle a payment, forgive an amount owed or erase accounting history. Haviq prevents normal organiser archiving where unfinished expense or settlement records require the event to remain available.
Deleting your account removes your sign-in access and initiates removal of your private account information. Some shared event and financial records, including names needed to make those records understandable, may be retained and remain accessible to authorised participants. The Privacy Policy explains what information may be retained, why it is retained and how you can make a privacy request.
If a deleting organiser leaves unfinished settlement, the event may remain unarchived with invitations disabled. Account deletion does not automatically appoint a replacement organiser or guarantee that unfinished organiser-only work can be completed.
8.3 Privacy Policy
Our Privacy Policy explains how we collect, use, share, protect and retain personal information, including reasonable internal analytics and your privacy rights. It also explains account deletion, retained shared records and how to request removal of personal information without a Haviq account. We retain personal information only for lawful purposes as described in that policy; we do not guarantee permanent event storage.
9. Third-Party Services
We use service providers for backend hosting and authentication, file storage, SMS verification, verification email, push notifications, app-store purchases, website infrastructure and support communications/forms. The providers involved depend on your platform, app version and the features you use. Our Privacy Policy explains their roles and our reasonable internal analytics for maintaining and improving Haviq; internal analytics is distinct from third-party advertising or behavioural tracking.
If you book or purchase accommodation, transport, catering or other goods or services outside Haviq, your agreement is with the person or business supplying them. Compass is not a party to that agreement and does not provide those goods or services.
Provider services may have their own terms where applicable. Our use of a supplier does not remove our responsibility for the Haviq service or rights that cannot lawfully be excluded.
10. Event Responsibilities, Safety and Shared Expenses
10.1 Haviq's role
Compass provides Haviq to help users plan and coordinate group events. Compass does not organise, host or supervise those events, or provide transport, catering or accommodation.
Organisers and participants are responsible for their event arrangements, permissions, bookings, agreed costs and appropriate safety precautions. Compass does not independently verify information submitted by users.
Haviq is not an emergency service. In an emergency, contact the appropriate emergency services directly.
10.2 Food and allergens
Allergen information and dish-specific warnings are planning aids, not food-safety advice or guarantees. Information may be incomplete or out of date, and a match cannot establish whether food is safe or account for every ingredient, preparation method or cross-contact risk.
An empty allergen field does not mean a person has no allergies. Participants should confirm their dietary requirements directly with the person or business preparing or supplying the food. Those preparing or supplying food should confirm the relevant dietary requirements with the participants and provide accurate information about ingredients, preparation methods and potential cross-contact risks. Do not rely solely on Haviq for a medical or food-safety decision.
10.3 Carpool arrangements
Haviq’s carpool features help participants coordinate ride offers, available seats, ride requests and pickup arrangements. Haviq is a coordination tool, not a transport service, and does not verify drivers’ licences, insurance, vehicle condition or suitability.
Drivers and passengers are responsible for checking their arrangements and complying with applicable laws and safety requirements.
10.4 Expense records and settlement
Haviq calculates suggested allocations and settlement amounts from the information and split settings users provide. Check expense amounts, currency, receipts, participants, allocations and payment records, and resolve disagreements with the relevant participants. An App calculation does not itself establish the legal enforceability of a debt or guarantee reimbursement.
Compass does not hold, transmit, collect or transfer participants' expense payments. Participants arrange actual payment outside Haviq. A payment marked paid or received is a user-reported record, not independent bank verification. Compass does not act as a debt collector or decide disputes between participants.
These responsibilities do not exclude Compass's obligations for the software service or any rights that cannot lawfully be excluded.
11. Service Availability, Changes and Closure
11.1 Our service commitments
We will provide Haviq with reasonable care and skill, consistent with applicable law. Software may experience faults or temporary interruptions, and continuous, error-free availability is not promised. This does not remove your rights to a remedy where the service fails to meet a legal guarantee.
11.2 Maintenance and changes
We may maintain and update the App. Where reasonably practicable, we will give reasonable advance notice of planned changes that materially reduce paid functionality and explain available options or remedies. Urgent security, legal or technical issues may require action without advance notice.
We will not treat a change to these Terms as permission to remove statutory rights or retrospectively charge more for a completed purchase.
11.3 Planned permanent closure
If we plan to close Haviq permanently, we will give reasonable advance notice where practicable, stop accepting new Premium purchases and provide a reasonable opportunity to obtain records you are entitled to access, subject to other people's privacy and applicable law.
Any refund or other remedy will be assessed under applicable law and the relevant app-store rules. Records remaining after closure will be handled in accordance with our Privacy Policy and applicable retention obligations. This section does not promise a particular export feature or indefinite operation.
12. Consumer Rights and Liability
If another provision conflicts with those rights, those rights prevail.
Compass remains responsible for its own acts and omissions to the extent required by applicable law. We do not exclude responsibility merely because the App uses another supplier's services, a security incident occurs or a software fault is involved.
Compass is not responsible merely because an event goes wrong, a participant fails to pay or user-supplied information is inaccurate. Any liability of Compass depends on its legal obligations, its contribution to the loss and the circumstances; this is not a blanket exclusion of liability for Compass's own failures.
Any claim and remedy will be assessed under applicable law, including rules about causation, reasonably foreseeable loss and reasonable steps to limit loss. These Terms do not limit any compensation or other remedy you are entitled to under laws that cannot lawfully be excluded.
13. Responsibility and Indemnity
To the extent permitted by applicable law, you agree to indemnify Compass against losses, liabilities and reasonable costs, including reasonable legal costs, arising from third-party claims to the extent caused by:
- your unlawful conduct;
- your infringement of another person’s rights; or
- your deliberate or reckless breach of these Terms.
This indemnity does not apply to the extent that a loss is caused by Compass’s negligence, unlawful conduct or breach of these Terms. It does not exclude or restrict any rights or remedies that cannot lawfully be excluded.
Compass will notify you of a claim within a reasonable time and take reasonable steps to limit the loss. Compass will not agree to a settlement that imposes an obligation on you without your consent.
14. Account Suspension and Termination
14.1 By you
You may stop using Haviq and request deletion of your account. Account deletion and any information that must remain are handled in accordance with the Privacy Policy and applicable law. Deleting an account does not, by itself, cancel obligations between event participants.
14.2 By us
Compass may restrict, suspend or terminate your account where reasonably necessary to address a material breach of these Terms, unlawful activity, a security risk, harm to other users, or a legal requirement. This includes where we reasonably determine that an account holder is under 18. Associated personal information is handled under the Privacy Policy and applicable law.
Where reasonably practicable and appropriate, Compass will explain the reason and give you an opportunity to address the issue. Urgent action may be taken without advance notice.
Compass may withhold reasons or supporting information where disclosure could compromise security, create an additional risk of harm, infringe another person’s privacy, or breach a legal obligation.
You may contact Compass to request a review of the decision.
14.3 Effect
Restricting, suspending or terminating your account does not remove any rights or remedies you have under applicable law. Obligations that are intended to continue after termination, including outstanding obligations between event participants, remain in effect.
If Compass suspends or terminates your account because you have breached these Terms, you are not automatically entitled to a refund for Premium access, even if you can no longer use it. Any entitlement to a refund or other remedy remains subject to applicable law and the relevant app store’s rules.
15. Changes to Terms
Compass may update these Terms from time to time. Updated Terms will be published on the Haviq website and will identify their version and effective date. From Haviq's launch, superseded versions that have taken effect for users will remain available in the website's legal archive.
When an updated version is published, Haviq will display a link to the Terms and require you to review and accept that version before continuing to use Haviq.
If you do not accept the updated Terms, you may stop using Haviq, sign out or request account deletion. You will still be able to access support and the account-deletion process.
Changes to these Terms do not remove any rights, remedies or claims you already have, or any rights that cannot lawfully be excluded.
16. Governing Law and Dispute Resolution
16.1 Governing law
These Terms are governed by New Zealand law. If mandatory laws in your country of residence give you rights or protections that cannot lawfully be excluded, those rights and protections remain unaffected.
16.2 Courts
Subject to any mandatory rights you have to bring proceedings elsewhere, you and Compass submit to the jurisdiction of the New Zealand courts.
16.3 Resolving concerns
Please contact Compass if you have a concern so we can try to resolve it. This does not prevent you from contacting a regulator, seeking urgent relief or exercising your legal rights.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Compass regarding your use of Haviq.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may transfer the service and these Terms as part of a genuine business transfer, subject to applicable law, appropriate notice and your accrued and non-excludable rights.
